Roomie Terms of Service

IMPORTANT – PLEASE READ CAREFULLY
These Terms of Service ("Terms") are a legal agreement between you and Atreides LLC ("Roomie," "we," "us," or "our") governing your use of the Roomie mobile application, website, and related services (collectively, the "Service").
BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
NOTICE OF ARBITRATION AGREEMENT AND CLASS ACTION WAIVER: Except where prohibited by law, you agree that disputes between you and Roomie will be resolved by binding, individual arbitration, and you waive your right to participate in a class action lawsuit or class-wide arbitration. See Section 17 for details.

1. ACCEPTANCE OF TERMS
By accessing or using Roomie, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Community Guidelines, which are incorporated by reference.
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the app or via email. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
2. ELIGIBILITY
2.1 Age Requirement
You must be at least 18 years old to use Roomie. By creating an account, you represent and warrant that you are 18 years of age or older.
2.2 Additional Requirements
You must:
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Service under applicable law
- Not have been previously banned or suspended from Roomie
- Comply with all local, state, national, and international laws and regulations
2.3 Account Registration
You may only create one account. Creating multiple accounts or allowing others to use your account is prohibited and may result in termination of all associated accounts.
3. ACCOUNT REGISTRATION AND SECURITY
3.1 Account Creation
To access certain features of the Service, you must create an account by providing:
- A valid email address
- A unique username
- A secure password
- Any other information we reasonably request
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Account Transfer
You may not sell, transfer, or allow others to access your account. Any attempt to do so will result in immediate termination.
4. USER CONTENT AND CONDUCT
4.1 Your Content
You may create, upload, post, or transmit content through the Service, including avatars, room designs, messages, and other materials (collectively, "User Content"). You retain ownership of your User Content, but you grant Roomie a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, display, and perform your User Content in connection with operating and promoting the Service.
4.2 Content Standards
You agree that your User Content and conduct will NOT:
Illegal Activity:
- Violate any law, regulation, or third-party rights
- Promote or facilitate illegal activities
- Contain malware, viruses, or harmful code
Inappropriate Content:
- Contain nudity, pornography, or sexually explicit material
- Depict or promote violence, self-harm, or harm to others
- Include hate speech, harassment, bullying, or threats
- Discriminate based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
Deceptive Practices:
- Impersonate any person or entity
- Misrepresent your affiliation with any person or entity
- Contain false, misleading, or deceptive information
- Engage in phishing, scams, or fraudulent schemes
Platform Integrity:
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any part of the Service
- Use bots, scripts, or automated tools
- Exploit bugs or glitches for unfair advantage
- Reverse engineer, decompile, or hack the Service
Spam and Commercial Activity:
- Send unsolicited messages or spam
- Advertise or promote third-party products or services without authorization
- Engage in unauthorized commercial activity
Other Prohibited Conduct:
- Share personal information of others without consent
- Engage in real-money gambling or unauthorized games of chance
- Create multiple accounts or engage in coordinated inauthentic behavior
- Any other conduct that Roomie, in its sole discretion, deems inappropriate, harmful, or contrary to the spirit of the Service
4.3 Monitoring and Enforcement
We reserve the right, but have no obligation, to:
- Monitor, review, and remove User Content
- Investigate violations of these Terms
- Take any action we deem appropriate, including warnings, content removal, account suspension, or termination
We may, but are not required to, provide warnings before taking enforcement action.
4.4 Reporting Violations
If you encounter content or behavior that violates these Terms, please report it through the in-app reporting feature or contact support@joinroomieapp.com.
5. VIRTUAL CURRENCY (COINS AND GEMS)
5.1 Two Currency System
Roomie uses two types of virtual currency:
Coins:
- Purchasable with real money through in-app purchases
- Earned through daily login rewards, invite bonuses, and platform promotions
- Used to purchase cosmetic items, room decorations, and send gifts to other users
- Non-refundable and non-transferable
- No cash value
Gems:
- Earned through gameplay (platform-funded prize competitions), receiving gifts from other users, and streaming tips
- Cannot be purchased directly with real money
- Can be withdrawn for real money (subject to Section 7)
- Non-transferable between users
5.2 No Real-World Value for Coins
Coins have no real-world value, cannot be redeemed for cash, and are not your property. Coins exist solely within the Service for use as specified by Roomie.
5.3 License, Not Ownership
When you acquire Coins or Gems, you receive a limited, personal, non-transferable, non-sublicensable, revocable license to use them within the Service. You do not own Coins or Gems; you own a license to use them.
5.4 Forfeiture
Coins and Gems may be forfeited if:
- Your account is terminated for violating these Terms
- You engage in fraudulent activity
- You violate laws or regulations
- You remain inactive for an extended period (we will provide notice)
5.5 No Refunds or Exchanges
Except as required by law, Coins and Gems are non-refundable. There are no refunds, exchanges, or transfers between users.
5.6 Balance Adjustments
We reserve the right to adjust your Coin or Gem balance if we detect errors, fraud, or violations of these Terms. We will notify you of any adjustments when possible.
6. PURCHASES AND PAYMENT TERMS
6.1 In-App Purchases
You may purchase Coins through in-app purchases on the iOS App Store. All purchases are subject to Apple's terms and conditions in addition to these Terms.
6.2 Pricing and Availability
Prices for Coins are displayed in the app and may change at any time. We are not responsible for pricing errors. If an error occurs, we may cancel the transaction and refund your payment.
6.3 Authorization
By making a purchase, you authorize us (or our third-party payment processor) to charge your payment method. You represent that you have the legal right to use any payment method you provide.
6.4 Taxes
You are responsible for any taxes, duties, or fees associated with your purchases.
6.5 Refund Policy
All purchases of virtual currency (Coins) are final and non-refundable, except:
- Where required by applicable law
- In cases of unauthorized purchases (subject to verification)
- If we discontinue the Service (at our discretion)
To request a refund for unauthorized purchases, contact Apple Support or support@joinroomieapp.com within 14 days of the transaction.
6.6 Subscription Services (If Applicable)
If you subscribe to Roomie Premium or other subscription services:
- Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
- You will be charged through your Apple ID account
- You can manage or cancel subscriptions in your Apple ID account settings
- No refunds for partial subscription periods
7. EARNINGS, WITHDRAWALS, AND TAX OBLIGATIONS
7.1 Earning Gems
You can earn Gems through:
- Platform-funded prize competitions (e.g., Hex Arena weekly leaderboards)
- Receiving gifts from other users (you receive 85% of the Coin value as Gems; Roomie retains 15%)
- Streaming tips in Theater Room (you receive 85%; Roomie retains 15%)
- Platform bonuses and promotions
Important: Gems earned from platform-funded competitions are NOT funded by other players' entry fees. All prizes are funded by Roomie's revenue from cosmetic sales, subscriptions, and other monetization.
7.2 Withdrawal Requirements
To withdraw Gems for real money:
- Minimum withdrawal: 1,000 Gems ($10.00 USD)
- Payment methods: PayPal or Venmo
- Processing time: 3-5 business days after approval
- Account verification required: You must verify your identity and provide tax information (see Section 7.4)
7.3 Withdrawal Process
To request a withdrawal:
- Navigate to the Wallet section in the app
- Click "Withdraw Gems"
- Enter the amount to withdraw (minimum 1,000 Gems)
- Select payment method (PayPal or Venmo)
- Provide required payment account information
- Submit request for review
We reserve the right to:
- Approve or deny withdrawal requests at our discretion
- Request additional verification or documentation
- Delay or suspend withdrawals if we suspect fraud, abuse, or Terms violations
- Limit withdrawal frequency (e.g., once per 7 days)
7.4 Tax Information and Reporting
U.S. Users:
If your total earnings in a calendar year reach or exceed $600 USD, you must:
- Provide a completed IRS Form W-9 (including your Social Security Number or Tax Identification Number)
- Verify your identity with government-issued ID
We will issue an IRS Form 1099-MISC for earnings of $600 or more. You are responsible for reporting all earnings to tax authorities and paying applicable taxes.
Non-U.S. Users:
You may be required to provide equivalent tax documentation as required by your country's laws. We may withhold taxes as required by applicable law.
7.5 Limitations and Restrictions
We reserve the right to:
- Limit or suspend withdrawals if we detect suspicious activity
- Require additional verification before processing withdrawals
- Hold funds for investigation if we suspect Terms violations
- Forfeit Gems obtained through fraud, abuse, or violations
- Change withdrawal minimums, fees, or payment methods with notice
7.6 Fees
Currently, Roomie does not charge fees for withdrawals. However, third-party payment processors (PayPal, Venmo) may charge their own fees. We reserve the right to introduce withdrawal fees in the future with advance notice.
7.7 Your Responsibilities
You are solely responsible for:
- Providing accurate payment account information
- Paying all applicable taxes on your earnings
- Maintaining records of your earnings and withdrawals
- Complying with all tax laws and regulations in your jurisdiction
Roomie is not responsible for any tax obligations, penalties, or interest arising from your earnings.
8. PLATFORM-FUNDED PRIZES AND COMPETITIONS
8.1 Prize Structure
Roomie offers platform-funded prize competitions in certain games (e.g., Hex Arena weekly leaderboards). These prizes are:
- Funded entirely by Roomie from platform revenue (cosmetic sales, subscriptions, ads)
- NOT funded by player entry fees or wagers
- Awarded in Gems, which can be withdrawn for real money (subject to Section 7)
8.2 Eligibility
To participate in prize competitions, you must:
- Be 18 years of age or older
- Have an active, verified account in good standing
- Comply with all applicable laws and regulations
- Meet any game-specific requirements
8.3 Prize Distribution
Prizes are distributed based on:
- Leaderboard rankings (e.g., top 3 players by total wins in a week)
- Game outcomes (e.g., winner of a match)
- Other criteria specified in the competition rules
Prize amounts and distribution schedules are subject to change. Current prize structures are displayed in-app.
8.4 No Purchase Necessary (Where Applicable)
If a game requires Coins to play:
- Coins can be earned for free through daily login rewards
- Sufficient free Coins are provided to compete meaningfully
- Purchasing additional Coins does not improve your chances of winning; it only increases play frequency
8.5 Prohibited Conduct
The following are strictly prohibited in competitions:
- Using multiple accounts to gain unfair advantage
- Colluding with other players to manipulate outcomes
- Exploiting bugs or glitches
- Using bots, scripts, or automated tools
- Match-fixing or any form of cheating
Violations will result in disqualification, forfeiture of prizes, and account termination.
8.6 Disclaimers
- We reserve the right to modify, suspend, or cancel competitions at any time
- Prizes are awarded "as-is" with no warranties
- We are not responsible for technical errors, outages, or issues that affect competition outcomes
- All decisions regarding prize distribution are final and at our sole discretion
9. INVITE PROGRAM
9.1 Participation
You may invite friends to join Roomie using your personal invite code. When a new user signs up with your code:
- You receive 100 Coins
- They receive 100 Coins
- They gain immediate access (bypass waitlist)
9.2 Invite Limits
Each user starts with a limited number of invite codes (currently 2). Additional codes may be granted at Roomie's discretion.
9.3 Prohibited Invite Activity
You may not:
- Create multiple accounts to abuse invite rewards
- Use bots or automated systems to generate sign-ups
- Sell, trade, or exchange invite codes
- Spam your invite code on social media or forums
- Engage in any fraudulent or manipulative practices
Violations will result in forfeiture of rewards and account termination.
9.4 Program Changes
The invite program is subject to change or termination at any time. Refer to the Invite Program Terms for full details.
10. INTELLECTUAL PROPERTY RIGHTS
10.1 Roomie's Intellectual Property
The Service, including all content, features, functionality, software, code, graphics, logos, and trademarks, is owned by Roomie or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.
10.2 Restrictions
You may not:
- Copy, modify, distribute, sell, or lease any part of the Service
- Reverse engineer, decompile, or attempt to extract source code
- Remove or alter any copyright, trademark, or proprietary notices
- Use Roomie's trademarks, logos, or branding without written permission
- Create derivative works based on the Service
10.3 User Content License
By submitting User Content, you grant Roomie a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in connection with operating, promoting, and improving the Service.
This license continues even after you stop using the Service, but only for content you created while using the Service.
10.4 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant Roomie an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.
10.5 DMCA and Copyright Infringement
We respect intellectual property rights. If you believe content on Roomie infringes your copyright, please contact us at support@joinroomieapp.com with:
- Identification of the copyrighted work
- Identification of the infringing material and its location
- Your contact information
- A statement that you have a good faith belief the use is unauthorized
- A statement that the information is accurate and you are authorized to act on behalf of the copyright owner
- Your physical or electronic signature
We may remove allegedly infringing content and terminate repeat infringers.
11. CAMERA, MICROPHONE, AND FACE TRACKING
11.1 Camera and Microphone Access
Roomie requests access to your device's camera and microphone to provide:
- Face tracking for avatar animation (using on-device processing via MediaPipe)
- TV Head mode (video streaming of your camera feed to other users)
- Voice chat (real-time audio communication)
You can enable or disable camera and microphone access at any time in your device settings or in-app settings.
11.2 Face Tracking
When you enable face tracking:
- Your device's camera captures your facial movements
- Processing occurs entirely on your device using MediaPipe technology
- Only numerical blendshape coefficients (52 data points) and head rotation data are transmitted to other users
- Raw camera images are never uploaded to our servers or transmitted to other users (unless you enable TV Head mode)
11.3 TV Head Mode (Video Streaming)
When you enable TV Head mode:
- Your camera feed is streamed in real-time to other users in the same room
- Video is transmitted at 320x320 resolution, 15 fps via Agora RTC
- Video is not recorded or stored by Roomie
- Other users see your video feed displayed on your avatar's head
You can toggle TV Head mode on/off at any time.
11.4 Voice Chat
When you enable voice chat:
- Your microphone captures audio
- Audio is transmitted in real-time to other users in the same room via Agora RTC
- Audio is not recorded or stored by Roomie
- Spatial audio adjusts volume based on proximity to other users
You can mute your microphone at any time.
11.5 No Recording or Storage
Roomie does not record, store, or retain:
- Camera video (except during real-time TV Head streaming)
- Microphone audio (except during real-time voice chat)
- Raw facial images
All camera and microphone data is transmitted in real-time only and is not accessible after the session ends.
11.6 Third-Party Services
Camera and audio are transmitted via Agora RTC. By using these features, you acknowledge that data passes through Agora's infrastructure. Agora's privacy policy applies to this data transmission.
11.7 User Responsibility
You are solely responsible for:
- What you choose to show on camera (TV Head mode)
- What you say via voice chat
- Ensuring your use complies with these Terms and applicable laws
Do not transmit nudity, illegal content, or content that violates others' rights.
12. THIRD-PARTY SERVICES
12.1 Third-Party Integrations
The Service uses third-party services, including:
- Supabase (database and authentication)
- Agora RTC (voice and video streaming)
- Playroom Kit (multiplayer synchronization)
- OneSignal (push notifications)
- Apple App Store (in-app purchases)
- PayPal and Venmo (withdrawals)
- Cloudflare R2 (asset storage)
Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.
12.2 External Links
The Service may contain links to third-party websites or services. We do not endorse or control these sites and are not responsible for their content, privacy practices, or terms.
12.3 Third-Party Content
Third-party content (e.g., avatars from Ready Player Me) may be subject to separate licenses and terms. You are responsible for complying with those terms.
13. DISCLAIMERS AND LIMITATIONS OF LIABILITY
13.1 "As-Is" and "As-Available"
THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- UNINTERRUPTED OR ERROR-FREE OPERATION
- ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
13.2 No Guarantees
WE DO NOT GUARANTEE THAT:
- The Service will meet your requirements
- The Service will be uninterrupted, secure, or error-free
- Results obtained from the Service will be accurate or reliable
- Defects will be corrected
- Your data will be secure or not lost
13.3 User Content Disclaimer
We do not control User Content and are not responsible for its accuracy, legality, or appropriateness. We do not endorse any User Content or opinions expressed by users.
13.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOMIE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR:
Indirect, Incidental, Special, Consequential, or Punitive Damages, Including:
- Loss of profits, revenue, data, or use
- Loss of business opportunities
- Reputational harm
- Emotional distress
Even if We Have Been Advised of the Possibility of Such Damages.
Our Total Liability for all claims arising from or related to the Service will not exceed the greater of:
- $100 USD, or
- The amount you paid to Roomie in the 12 months before the claim arose
13.5 Basis of the Bargain
These disclaimers and limitations are fundamental elements of the agreement between you and Roomie. The Service would not be provided without these limitations.
13.6 Jurisdictional Variations
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Roomie, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
- Any dispute between you and other users
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense. You will cooperate with our defense of such claims.
15. TERMINATION AND SUSPENSION
15.1 Termination by You
You may stop using the Service and delete your account at any time by:
- Navigating to Settings → Account → Delete Account in the app, or
- Contacting support@joinroomieapp.com
Upon deletion:
- Your account will be deactivated within 24 hours
- Your User Content may be removed (though some content may persist in backups for up to 30 days)
- Your Coins will be forfeited
- Your Gems may be forfeited unless you request withdrawal before deletion (subject to withdrawal requirements)
15.2 Termination or Suspension by Roomie
We may suspend or terminate your account, at our sole discretion, with or without notice, for any reason, including but not limited to:
Violations of Terms:
- Breach of these Terms or Community Guidelines
- Fraudulent activity or abuse of the Service
- Multiple reports or complaints against you
- Chargebacks or payment disputes
Legal or Safety Concerns:
- Illegal activity or court orders
- Threats to the safety or security of users
- Violations of applicable laws or regulations
Other Reasons:
- Extended inactivity (we will provide notice)
- Discontinuation of the Service
- Any other reason at our discretion
15.3 Warning System
In some cases, we may issue warnings before suspending or terminating your account. However, we reserve the right to terminate immediately without warning for serious violations.
15.4 Effect of Termination
Upon termination or suspension:
- Your right to use the Service immediately ceases
- You forfeit all Coins and may forfeit Gems (at our discretion)
- We may delete your User Content
- Sections of these Terms that by their nature should survive (indemnification, limitation of liability, dispute resolution) will remain in effect
15.5 No Refunds
Termination or suspension does not entitle you to any refunds.
16. CHANGES TO TERMS AND SERVICE
16.1 Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms in the app
- Sending an email to your registered email address
- Displaying a notice when you log in
Continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
16.2 Changes to Service
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.
This includes the right to:
- Add or remove features
- Change pricing for virtual currency
- Adjust prize amounts or competition structures
- Limit or restrict access to certain features or users
16.3 Service Discontinuation
If we permanently discontinue the Service, we will provide reasonable notice and may, at our discretion, offer refunds or compensation for recent purchases.
17. DISPUTE RESOLUTION AND ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
17.1 Informal Dispute Resolution
Before initiating arbitration or litigation, you agree to first contact us at support@joinroomieapp.com to attempt to resolve the dispute informally. Provide:
- Your name and contact information
- A description of the dispute
- Your desired resolution
We will attempt to resolve the dispute within 60 days. If unresolved, either party may initiate arbitration or (where permitted) litigation.
17.2 Binding Arbitration Agreement
You and Roomie agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved by binding arbitration, rather than in court, except:
- Small claims court actions (if eligible)
- Disputes related to intellectual property rights
- Injunctive relief for violations of these Terms
By agreeing to arbitration, you waive your right to a jury trial and the right to participate in a class action.
17.3 Arbitration Rules and Process
Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at www.adr.org, or by another mutually agreed arbitration provider.
Arbitration Procedures:
- Arbitration will be conducted by a single, neutral arbitrator
- The arbitrator's decision is final and binding
- The arbitrator may award the same damages and relief as a court
- Arbitration may be conducted remotely (phone, video) or in-person
Location:
- If in-person arbitration is required, it will take place in Los Angeles County, California, or another mutually agreed location.
Fees:
- Roomie will pay all AAA filing, administration, and arbitrator fees for claims under $10,000
- For claims over $10,000, fees are determined by AAA rules
- Each party is responsible for their own attorneys' fees unless the arbitrator awards them
17.4 Class Action Waiver
YOU AND ROOMIE AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.
You waive your right to:
- Participate in a class action lawsuit
- Act as a class representative or member
- Bring claims on behalf of others
The arbitrator may not consolidate multiple persons' claims or preside over any form of representative or class proceeding.
If this class action waiver is found unenforceable, the arbitration agreement in Section 17.2 will not apply, and Disputes will be resolved in court.
17.5 Exceptions to Arbitration
The following Disputes are not subject to arbitration:
- Claims filed in small claims court (if eligible under small claims rules)
- Claims seeking injunctive relief for intellectual property infringement or Terms violations
- Claims that cannot be arbitrated under applicable law
17.6 Opt-Out Right
You have the right to opt out of this arbitration agreement. To opt out, you must send written notice to:

Include your name, email, username, and a clear statement that you wish to opt out of arbitration. Notice must be sent within 30 days of first accepting these Terms (e.g., creating your account). If you opt out, all other Terms still apply, but Disputes will be resolved in court.
17.7 Severability
If any part of this arbitration agreement is found invalid or unenforceable, the remainder will continue to apply, except that if the class action waiver is found unenforceable, the entire arbitration agreement will not apply.
18. GENERAL PROVISIONS
18.1 Governing Law
These Terms and any Disputes will be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of laws principles.
18.2 Jurisdiction and Venue
If a Dispute is not subject to arbitration (e.g., you opted out or an exception applies), you agree that the Dispute will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.
18.3 Entire Agreement
These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Roomie regarding the Service and supersede all prior agreements and understandings.
18.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. A waiver of any breach does not constitute a waiver of any subsequent breach.
18.5 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.
18.6 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations without restriction.
18.7 No Third-Party Beneficiaries
These Terms are for the benefit of you and Roomie only. No third party has any right to enforce any provision of these Terms.
18.8 Force Majeure
We are not liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet/telecommunications failures.
18.9 Export Controls
You may not use the Service if you are located in a country subject to U.S. embargo or if you are on any U.S. government list of prohibited or restricted parties.
18.10 Notices
We may provide notices to you:
- By email to your registered email address
- By posting in the app
- By other reasonable means
